Dematerialization Meaning: Physical Shares to Demat
Understand dematerialization, the DP and issuer/RTA process, common request problems, and how it differs from rematerialization and transmission.

What this resource does
Dematerialization, also spelled dematerialisation, converts physical securities certificates into corresponding electronic holdings in a demat account. The investor remains the beneficial owner; converting the holding is not itself a purchase or sale.
A demat account is where electronic securities are held; dematerialization is the conversion process. Your Depository Participant (DP) handles the investor-facing request. NSDL or CDSL is the depository, while the issuer or its Registrar and Transfer Agent (RTA) verifies the registered holding. Opening an account alone does not convert old certificates.
Methodology
- Ask a SEBI-registered DP whether the security is available for dematerialization and whether the account's holder details match the certificates. Obtain the current forms and certificate-handling instructions before submitting originals.
- Submit the completed Dematerialization Request Form (DRF) and the relevant physical certificates to your DP. Keep the acknowledgement and a record of the submitted quantity and certificate details.
- The DP checks the request and certificates, records it electronically, and forwards the documents and request to the issuer or RTA. The issuer/RTA must accept the request before the corresponding electronic credit is created.
- After confirmation, reconcile the demat statement's security identifier and quantity with your submission. A request acknowledgement is evidence of submission, not proof that conversion has been completed.
How to interpret it
Rematerialization is the reverse: electronic holdings become physical certificates through a request to the DP. It is a separate process, not a sale or withdrawal of the investment's cash value.
Transmission concerns entitlement passing by operation of law, for example after a holder's death. It is not ordinary dematerialization. For inherited holdings, establish the applicable transmission route with the DP and issuer/RTA instead of assuming a certificate can simply be credited to anyone's account.
Transposition concerns the order of the same joint holders' names. NSDL describes a transposition-cum-demat route for this situation; it does not mean dropping a joint holder or converting a joint holding into a sole holding.
Hypothetical example, not an issuer record: assume one valid certificate represents 100 shares of Company A, the security is admitted for demat, and the registered holders match the account. A confirmed conversion credits 100 electronic shares, not an extra 100 shares. If the DP only acknowledges the request, do not record that hypothetical credit as a completed holding.
Limitations and failure modes
- This is an educational process guide, not a determination of ownership, inheritance rights, certificate authenticity or application eligibility.
- Lost certificates, disputed ownership and special security types require the applicable DP/issuer/RTA procedure. This guide does not supply a universal document list for those cases.
- No universal fee or completion deadline is promised here. Obtain the DP's applicable charges and current service information, and distinguish its processing stage from issuer/RTA confirmation.
- Primary guidance was checked on 5 October 2026. Some official pages retain older procedural references; verify the current instructions for the actual security and request before acting.
Research workflow
- For a pending or rejected request, obtain the request reference and the specific objection from your DP. NSDL's rejection guidance includes quantity or certificate-detail differences, holder-name or signature discrepancies, and documents sent to the wrong RTA.
- Use the objection to identify the required correction rather than submitting a generic replacement form. Ask the DP to reconcile the original request's status before another submission; a duplicate request is not automatically the remedy.
- Keep the acknowledgement, submitted certificate details, request reference, objection and correction correspondence together. Compare the eventual account credit with that record, not with a broker's portfolio display alone.
- Raise an unresolved account discrepancy with the DP and, if needed, the depository. SEBI's investor charter also provides grievance routes. Preserve the correspondence and use the authority's current complaint channel rather than expecting Rusaka Markets to process the conversion.
Questions and answers
What does dematerialization mean?
It means replacing physical securities certificates with corresponding electronic holdings in a demat account. The investor remains the beneficial owner; it is not an investment return.
Is opening a demat account the same as dematerializing shares?
No. The account holds electronic securities. Converting an existing physical certificate requires a separate request and validation; account opening alone is not issuer confirmation.
Can I dematerialize certificates in a deceased parent's name directly into my account?
Do not assume so. Transmission and entitlement checks are distinct from conversion. Ask the DP and issuer/RTA which current process applies; a family relationship alone is not confirmation of a valid credit.
What if joint-holder names appear in a different order?
NSDL describes transposition-cum-demat for the same holders in a different order. Ask for the applicable form and checks; this does not authorize removing or replacing a holder.
Why might a demat request be pending or rejected?
Certificate details, quantity, holder names, signatures or the receiving RTA may need reconciliation. Obtain the specific objection and original request status before choosing a correction or replacement request.
How much does dematerialization cost, and how long will it take?
Request the DP's applicable charges and current service information. DP processing and issuer/RTA confirmation are separate stages; this page promises neither a fixed fee nor an end-to-end completion date.
Can electronic shares be converted back into certificates?
That reverse process is rematerialization. The request goes through the DP and issuer/RTA process; it does not mean selling the shares or receiving their market value in cash.
